Terms of Service

Welcome to Winify AI! These Terms of Service (“Terms”) govern your access to and use of the services, software, and website (collectively, the “Service”) operated by Leosh Solutions LLC, a Wyoming limited liability company (“Company”, “we”, “us”, or “our”). By using our Service, you agree to be bound by these Terms.
1. Eligibility
Winify AI is a business-only platform. By using the Service, you represent and warrant that you are using it on behalf of a business entity, are authorized to bind that entity, and are at least 18 years of age.
2. Description of Service
Winify AI is a software-as-a-service (SaaS) platform that enables businesses to automate the process of completing RFPs and security questionnaires using AI, based on their internal documentation and templates.
3. Account Registration
To access the Service, you may be required to register an account and provide accurate, complete, and current information. You are responsible for safeguarding your credentials and for all activities under your account.
4. Free Trials and Paid Plans
We offer a 14-day free trial with limited access to features. After the trial, continued access requires a paid subscription. All fees are billed in advance and are non-refundable, unless otherwise approved by management or required by law.
5. User-Uploaded Content
You may upload content including documents, templates, and data (“User Content”). You retain ownership of your User Content. By uploading it, you grant us a non-exclusive, worldwide, royalty-free license to use it solely to provide the Service (e.g., parsing, embedding, indexing, generating responses and exports).
You must ensure you have the rights to upload any content and that it does not infringe on the rights of others.
6. Use Restrictions
You agree not to:
- Use the Service for any unlawful or unauthorized purpose.
- Reverse engineer, scrape, or attempt to access source code or proprietary algorithms.
- Use the Service to train AI models outside the scope of this agreement.
- Interfere with or disrupt the integrity or performance of the Service.
7. Intellectual Property
Winify AI and its features, content, and design are the exclusive property of Leosh Solutions LLC. These Terms do not grant you any rights, title, or interest in or to any intellectual property of the Company or third parties.
8. Data and Privacy
We collect personal and usage data such as name, email, company info, usage logs, and uploaded files. Please refer to our Privacy Policy for more information about how we collect, use, and protect your data.
9. No Warranty / “As-Is”
The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee uptime, availability, or that the Service will meet your needs or be error-free.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, all rights granted to you will immediately cease.
You may terminate your use of the Service at any time by ceasing use. Paid fees will not be refunded unless otherwise agreed or required by law.
11. Limitation of Liability
To the fullest extent permitted by law, in no event shall Leosh Solutions LLC, its affiliates, or its suppliers be liable for indirect, incidental, punitive, or consequential damages, including loss of data or profits.
Total liability for any claim under these Terms shall not exceed the amount you paid us in the 12 months prior to the event giving rise to the claim.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
13. Export Compliance
You may not use the Service if you are located in a country embargoed by the United States or if you are on a U.S. government list of restricted parties.
14. Modifications
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date above and, where appropriate, via email or in-app message. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

16. Definitions (Usage-Based Features)
- “Questions” means AI answer generations initiated by Customer, including retries.
- “Ingestion” means any upload or re-upload of a questionnaire or knowledge document that triggers parsing, conversion, indexing, or other processing.
- “Active Documents” means documents indexed and available in workspace libraries for retrieval/generation. Uploads in excess of the Active Documents limit may be stored but not indexed until capacity is available.
- “Business Units” (BUs) means organizational groupings or libraries within one Customer tenant.
17. Plan Entitlements & Usage Limits
Your plan includes the quantities communicated at sign-up or in an applicable order communication (e.g., email quote, checkout page, invoice, or subscription metadata), which may include BUs, monthly Questions, monthly Ingestions, Active Documents, and seats. Unless expressly stated, unused monthly quantities do not roll over. We may enforce limits through technical controls.
18. Overages
If you exceed monthly inclusions, processing may continue and overages are billed at the then-current rates described in your order communication (e.g., per additional 1,000 Questions or per additional 10 Ingestions). Overages are billed monthly in arrears to the payment method on file.
19. Fair Use; Anti-Churn
Deleting and re-uploading documents counts as new Ingestions. We may apply reasonable rate limits, throttling, or other controls to prevent abuse, excessive automated re-ingestion, or activity that degrades Service performance.
20. Early Access & Beta Features
We may provide access to pre-release, beta, or early-access features (collectively, “Beta Features”). Beta Features are offered “as is,” may change or be withdrawn at any time, and may not be covered by support obligations. Any target dates or milestones for Beta Features are estimates and not contractual commitments unless expressly stated in an order communication. If a specific delivery date is stated in an order communication and not met, your exclusive remedy is the price hold and/or start-of-billing deferral stated in that communication.
21. Billing, Renewal, and Taxes
Subscriptions are billed in advance (monthly or annually, as applicable) via Stripe or another processor and auto-renew for consecutive terms unless cancelled before the renewal date. Fees are exclusive of taxes; you are responsible for any sales, use, VAT, GST, or similar taxes (excluding taxes on our income). Except as required by law or expressly stated, fees are non-refundable.
22. Support; SLA
Unless otherwise agreed in writing, support is provided via email during business hours. No uptime or performance service-level agreement (SLA) is provided under these Terms. Any SLA or enhanced support commitments must be expressly agreed in an order communication.
23. Generated Content & Feedback
As between the parties, you own the outputs generated from your inputs and User Content, subject to applicable third-party terms. You grant us a non-exclusive, worldwide, royalty-free license to use any feedback or suggestions you provide to improve the Service without restriction.
24. Subprocessors and AI Providers
You consent to our use of subprocessors (including AI service providers and parsing tools) to provide the Service. We will remain responsible for their performance under these Terms. A current list of subprocessors is available upon request and may change over time.
25. Service Data & Telemetry
We may collect and process technical logs and telemetry (e.g., usage metrics, performance signals) to operate, secure, and improve the Service. Aggregated or de-identified data may be used for analytics, benchmarking, or product improvement.
26. Order Communications; Precedence
Details presented in an order communication (e.g., email quote, checkout page, invoice, or subscription metadata) form part of your agreement with us for the applicable subscription. In the event of a conflict between these Terms and a duly issued order communication, the order communication will control for the conflicting subject matter.
27. Suspension for Risk
We may suspend access immediately if we reasonably believe your use presents a security risk, violates law or these Terms, or materially degrades the Service for others. We will make reasonable efforts to notify you of the reason for suspension.
28. Survival
Sections that by their nature should survive termination (including payment obligations, IP, disclaimers, limitations of liability, governing law, and dispute terms) will survive.
